Beverage Company Settles SEC Charges for Misleading Claims
A public beverage company settled SEC charges for making misleading statements in annual reports about the "commercial feasibility of curbside recycling" of its beverage pods, without disclosing negative feedback from recycling industry participants.
In the Order, the SEC stated that the company conducted testing at recycling facilities to assess whether its polypropylene beverage pods could be recycled "effectively." The SEC said that two of the largest US recycling companies decided not to accept the pods for recycling, citing the commercial infeasibility of curbside recycling programs. The SEC stated that in its Forms 10-K, the company claimed that its testing "validate[d] that [pods] can be effectively recycled." The SEC found that the company's filings were incomplete and misleading, and that the omission of the negative feedback from key industry players made its claims inaccurate.
The SEC determined that the company violated SEA Section 13(a) ("Periodical and other reports") and Rule 13a-1 ("Requirements of annual reports"), which require public companies to file complete and accurate annual reports. The company did not admit or deny the findings.
To settle the charges, the company agreed to (i) a cease-and-desist order and (ii) pay a $1.5 million civil penalty.
In a dissenting statement, Commissioner Hester M. Peirce argued that the SEC "misreads [the company's] statement and overreacts to its own misreading." She argued that the decision of the two recycling companies not to accept the pods did not negate the fact that the pods could be recycled and that the SEC placed undue emphasis on the word "effectively." Further, she questioned whether the entire issue was material to investors, noting that the Order lacked charges under other anti-fraud provisions, such as SEA Section 10(b) and Rule 10b-5. Ms. Peirce warned that this case could set a precedent where companies feel compelled to burden their SEC filings with excessive caveats to avoid scrutiny.
