Federal Register: SEC Proposes Amendments to Public Company Reporting Requirements

The SEC proposal to amend Regulation S-K was published in the Federal Register. The proposed amendments would revise the description of business, legal proceedings, and risk factor disclosures that registrants are required to make under the Securities Act. Comments must be submitted by October 22, 2019.

As previously covered, the proposal is intended to (i) improve disclosures for investors, (ii) simplify compliance for registrants, (iii) decrease repetition in disclosure documents, and (iv) not require disclosure of information that is not material.
