SEC Division of Corp Fin No-Action Letter: Republic Services, Inc. (Re: SEA Rule 12h-3)

The SEC will not object if Republic Services, Inc. stops filing periodic and current reports under the Exchange Act, including their quarterly reports on Form 10-Q. The Subsidiary Guarantors will file certifications on Form 15 making appropriate claims under Exchange Act Rule 12h-3 on or before the due date of their Forms 10-Q for the quarter ended June 30, 2012.
