Federal Register: SEC Requests Comments on Expansion of Qualification Requirements for Smaller Reporting Companies

The SEC proposed amendments that would increase the financial thresholds in its definition of "smaller reporting company." The proposal would allow a greater number of registrants to qualify for certain scaled disclosures in Regulations S-K and S-X.

The SEC solicited comment on a concept release intended to assess: (i) whether business and financial disclosure requirements in Regulation S-K continue to provide the information necessary for investors to make informed voting and investment decisions, and (ii) whether any of the rules have become outdated or unnecessary.
