SEC Disapproves Proposed Rule Change on Direct Listings

The SEC disapproved Nasdaq Stock Market’s proposed rule change that would have allowed an issuer executing a direct listing with a capital raise to trade more than 20% above its expected pricing range. (See previous coverage.) In its Order, the SEC explained that Nasdaq did not demonstrate that the proposed rule was consistent with the requirements of the Exchange Act.
