The SEC approved a rule change filed by the NASDAQ Stock Market LLC ("NASDAQ") which adopts new NASDAQ Rule 5713 and new listing standards for "Paired Class Shares." The rule change allows list and trade in such shares issued by seven new AccuShares exchange-traded funds ("ETFs") on a national exchange. Each pair of shares is intended to provide a return based either on an upward or a downward movement in a particular index or asset. The SEC is interested in comments on topics including: the state of contested director elections; whether changes should be made to the federal proxy rules to facilitate the use of universal proxy ballots by management and proxy contestants; strategies for increasing retail shareholder participation in the proxy process, including how technology might affect retail participation; whether the format of disclosure could be improved to increase the engagement of shareholders

SEC Chair Mary Jo White and Commissioners Luis Aguilar, Kara Stein, and Daniel Gallagher spoke about SEC priorities for 2015.
