At a meeting of the Small Business Capital Formation Advisory Committee, SEC Commissioners offered recommendations to improve access to capital for underrepresented founders and investors.
An SEC proposal to amend rules and forms that would "mitigate the risk of unregistered distributions in connection with sales of market-adjustable securities" was published in the Federal Register.
The SEC adopted amendments to "simplify, harmonize, and improve certain aspects of the exempt offering framework." The amendments expand the availability of exemptions in order to "promote capital formation while preserving or enhancing important investor protections."
